ARTICLE I - NAME

This organization shall be known as the Coastal Monmouth Democratic Club.

ARTICLE II - PURPOSES

A. To help provide a strong, honest and active Democratic Party.

B. To encourage participation of all Democrats in the activities of the Party.

C. To provide a civic forum for all citizens.

D. To encourage and support qualified Democratic Party candidates.

ARTICLE III - MEMBERSHIP

A. Membership is open to any individual who is interested in furthering the purposes of this organization.

B. A member in good standing is any member who has paid the annual dues and supports the Democratic Party candidates for office.

C. Annual dues shall be established by the Executive Committee, due and payable in September of each year.

ARTICLE IV - OFFICERS

A. The officers of this organization shall be President, Vice President, Treasurer, Recording Secretary, -
Corresponding Secretary and Sergeant-at-Arms.

B. All officers shall be registered Democratic Party members.

ARTICLE V - DUTIES OF OFFICERS

  1. The President...

    1. shall call and preside at all meetings of the organization and Executive Committee;

    2. shall appoint all committee chairs;

    3. shall appoint a replacement for any elected officer who cannot complete their term of office,;

    4. shall serve as a member ex-officio of all committees; and

    5. shall maintain a copy of the Constitution.

  2. The Vice President...

    1. shall preside at all meetings in the absence of the President; and

    2. upon the resignation, removal or death of the President, shall assume the office and duties of the President for the balance of the term.

  3. The Treasurer...

    1. shall receive and disburse all organization funds and shall keep an account of the same;

    2. shall deposit all such funds in an account at a local bank maintained in the name of the organization;

    3. shall give a financial report to the organization at each regular meeting and to the Executive Committee upon request;

    4. shall deposit all funds collected on behalf of this organization to the treasury of this organization, said funds to be used only to further the purposes of the organization; and

    5. shall be the duly authorized signature for checks for $100 or less that the President has authorized, and for items over $100 for which a member has submitted a voucher and which the Executive Committee has
      approved.

  4. The Recording Secretary ...

    1. shall have custody of all non-financial records of the organization;

    2. shall keep accurate records of the minutes and activities of the organization and the Executive
      Committee; and

    3. shall maintain attendance records.

  5. The Corresponding Secretary ...

    1. shall have charge of all correspondence and meeting notices; and

    2. shall retain in the organization files all correspondence directed to the organization.

  6. Sergeant At Arms ...

    1. shall maintain order at all meetings; and

    2. shall be responsible for recording the attendance at each meeting and transmitting the record to the Recording Secretary.

ARTICLE VI - TRUSTEES

  1. The organization shall have four (4) Trustees, who shall be elected at the reorganization election of officers.

  2. Trustees shall serve two-year terms,

  3. The Trustees shall act as auditors for the organization, and a majority shall attest in writing by September 30thof each year that the books and financial records are in order as of August 31st of that year.

ARTICLE VII - STANDING COMMITTEESHospitality Committee shall provide refreshments for each regular meeting, the cost of which is limited by the Executive Committee.

  1. Membership Committee ...

    1. shall keep a record of all paid-up members; and

    2. shall provide to the Executive Committee a list of paid-up members with names, addresses and phone
      numbers.

  2. Nominating Committee ...

    1. shall be appointed by the President in July of each even year, and the President shall designate its Chairperson;

    2. shall consist of five (3) members, no more than two (1) of whom will be members of the Executive Committee;

    3. shall be members in good standing;

    4. shall present its slate at the regular meeting in August, at which time nominations will also be accepted from the floor; and

  3. Program Committee shall plan and present programs for each regular meeting.

  4. Publicity Committee shall promote the purposes of the organization through the use of media.

  5. Telephone Squad Committee shall communicate with members as directed by the organization to
    announce meetings, promote a special event, etc.

  6. Fund Raising Committee shall coordinate fund raising activities.

  7. The President shall have the authority to appoint additional committees as needed.

ARTICLE VIII - MEETINGS

  1. The reorganization meeting shall be in September of each even year.

  2. Regular meetings shall be held on the third Thursday of each month.

  3. Executive Committee meetings shall be held on the first Thursday of each month.

  4. Special meetings may be called by a majority of the votes cast at any regular meeting, by the Executive Committee, by the President, or by petition to the President signed by at lease ten (10) members in good standing. Upon presentation of a proper petition, the President shall call the meeting within ten (10) days.

  5. Quorums for all regular meetings will be ten (10) percent of the members in good standing.

ARTICLE IX- EXECUTIVE COMMITTEE

The Executive Committee shall be composed of the Officers, Trustees, Committee Chairpersons, and the Chairperson and Vice Chairperson of the Township of Ocean and Borough of Tinton Falls Democratic Municipal Committees.

ARTICLE X - ELECTIONS

  1. Elections shall be held at the regular meeting in September of each even year.

  2. Only members in good standing may vote

  3. No proxy votes shall be accepted.

  4. Officers shall be elected by a majority of the votes cast.

  5. If no candidate receives a majority, the individual with the least amount of votes will drop out. Voting will continue until one individual receives the majority required.

  6. Each candidate will be permitted two (2) toll counters to observe the taking of the count.

  7. Voting will be by closed ballot for any office in which there is more than one candidate.

  8. The Chairperson of the Nominating Committee shall conduct the election.

  9. The term of office for all Officers shall be two (2) years.

  10. Special Elections may be held at the discretion of the Executive Committee.

ARTICLE XI- PROCEDURE FOR MEETINGS

The order of business shall be:

  1. Call to order

  2. Pledge of Allegiance

  3. Reading of the minutes from the previous meeting

  4. Treasurer's Report

  5. Communications

  6. Committee Reports

  7. Good and Welfare

  8. Old Business

  9. New Business

  10. Adjournment

ARTICLE XIII - AMENDMENTS

  1. Amendments shall be accepted for consideration by the majority of the members in good standing present at any regular meeting

  2. The proposed amendments shall be considered and approved by a two-thirds (2/3) vote of the Executive Committee.

  3. The membership shall he notified of the proposed amendments in writing prior to the next regular meeting

  4. Proposed amendments shall be presented and discussed by the membership at that next regular meeting.

  5. Any revisions to the proposed amendments shall be approved by a two-thirds (2/3) vote of the Executive Committee.

  6. The membership shall be notified of the final proposed amendments in writing prior to the next regular meeting.

  7. Amendments shall be passed by a two-thirds (2/3) vote of the members present at that next regular meeting.

ARTICLE XIV – RATIFICATION These By-Laws shall become effective immediately upon ratification and shall supersede all previous By-Laws of the Club.
